These Terms govern use of Impact Roots (“Impact Roots,” “Platform”), powered by Platform Solutions LLC.

1. PLATFORM ROLE (CALIFORNIA COMPLIANCE)
Impact Roots is a technology provider only.
We are not:
• A commercial fundraiser
• A charitable trustee
• A fundraising counsel
within the meaning of California law.
We do not:
• Solicit donations
• Receive or control charitable funds

2. CALIFORNIA FUNDRAISING COMPLIANCE
If you are raising funds in California, you agree:
• You are responsible for compliance with the
California Supervision of Trustees and Fundraisers for Charitable Purposes Act
• You will maintain any required registrations with the
California Attorney General's Registry of Charities and Fundraisers
We do not verify compliance.

3. PAYMENT STRUCTURE
Impact Roots uses **Stripe Connect Standard.
You agree:
• You are the merchant of record
• Funds go directly to your Stripe account
• We do not hold or transmit funds

4. NO ROLE IN CHARITABLE SOLICITATION
We do not:
• Create or control campaigns
• Determine how funds are used
• Represent any charity
All fundraising activity is conducted solely by the Organizer.

5. ORGANIZER LIABILITY
You are solely responsible for:
• Compliance with all charitable solicitation laws
• Proper use of funds
• Truthfulness of all representations
Failure exposes you—not us—to regulatory enforcement.

6. FEES
All fees are:
• Non-refundable
• Charged as disclosed

7. NO LIABILITY
We are not liable for:
• Regulatory violations
• Misuse of funds
• Donor disputes
• Event outcomes

8. USER CONDUCT
You may not:
• Misrepresent charitable status
• Violate California fundraising laws
• Engage in deceptive practices

9. DISCLAIMERS
THE PLATFORM IS PROVIDED “AS IS.”
We make no warranties.

10. LIMITATION OF LIABILITY
Liability is capped at a maximum of fees paid by organization in the prior 12 months.

11. INDEMNIFICATION
You agree to indemnify us from all claims, including regulatory actions.

12. TERMINATION
We may terminate access at any time, especially for compliance risk.

13. GOVERNING LAW
These Terms are governed by California law for activities conducted in California, otherwise Colorado law applies.
